AI BUILDER SOLUTIONS LTDA(“Runflow”), registered with the Brazilian corporate taxpayer registry (CNPJ/MF) under no. 62.142.564/0001-16, with registered office at R. Cel. José Eusébio, 95, sala 13, Higienópolis, São Paulo - SP, CEP 01239-030, Brazil, provides the Runflow platform (the “Platform”) on the terms below. By using the Platform, you (the “User”) declare that you have read and fully agree to these Terms of Use.

These Terms govern use of the Platform. The processing of personal data, both on the Platform and on this website, is described in the Privacy Policy.

1. Definitions

• Platform: the Runflow system made available in SaaS or On-Premises form.
• User: the individual or legal entity that uses the Platform.
• AI agents: automations configured by the User within the Platform.
• Connectors: integrations with third-party services (e.g. Google, Microsoft, Slack) enabled by the User.
• Credentials: access tokens and API keys stored in encrypted form on the Platform in order to enable the Connectors.

2. Subject matter

Runflow provides an automation platform based on AI agents that allows the User to create, configure and run automated flows integrating various third-party services and APIs.

3. Registration and access

3.1. Access to the Platform requires registration with true and up-to-date information.

3.2. The User is fully responsible for all activities carried out under their access credentials, including actions by their representatives, employees and service providers.

3.3. The User must notify Runflow immediately in the event of unauthorized use of their account.

4. Licensing

4.1. SaaS: the Platform is hosted and maintained by Runflow on cloud infrastructure. Runflow is responsible for security, updates and backups.

4.2. On-Premises: the Platform is installed on the User’s infrastructure, and the User assumes responsibility for operating and maintaining that environment.

4.3. The license is non-exclusive, non-transferable and limited to the number of users, tokens and executions contracted.

5. Connectors and third-party integrations

5.1. The Platform allows the User to connect third-party services (Google Workspace, Microsoft 365, Slack, among others) through standard protocols such as OAuth 2.0.

5.2. Connecting to third-party services is voluntary and initiated solely by the User. Runflow does not connect any external service automatically.

5.3. By connecting a third-party service, the User authorizes the Platform to access the data necessary to run the automations configured, within the scopes requested.

5.4. The User may revoke access to any third-party service at any time, either directly on the Platform or in that third-party service’s security settings.

5.5. Runflow is not liable for changes, unavailability or restrictions imposed by third-party services.

6. User obligations

The User undertakes to:

• Use the Platform in accordance with applicable law;
• Not use the Platform for unlawful or abusive activities, or activities that infringe third-party rights;
• Keep their access credentials confidential;
• Observe the consumption limits contracted.

7. Technical support and SLA

7.1. Runflow provides technical support during business hours (9:00 to 18:30, Brasília time, business days) at suporte@runflow.ai.

8. Payment

8.1. Payment for the services shall be as set out in the Purchase Order (Ordem de Compra) agreed between the parties.

8.2. Payment shall be made upon issuance of a Brazilian tax invoice (Nota Fiscal), within 7 calendar days, unless otherwise agreed.

8.3. The amounts include all applicable taxes.

9. Intellectual property

9.1. The Platform, including its source code, algorithms, interfaces, documentation and brand, is the exclusive property of Runflow.

9.2. Data entered by the User on the Platform remains the property of the User.

10. Confidentiality

10.1. The parties undertake to keep confidential all confidential information obtained by reason of the use of the Platform or of the commercial relationship.

10.2. The confidentiality obligation remains in force even after the contractual relationship ends.

11. Limitation of liability

11.1. Runflow shall not be liable for indirect damages, loss of profits or losses arising from the unavailability of third-party services.

11.2. Runflow’s total liability is limited to the amount paid by the User over the last 12 months.

12. Termination

12.1. The User may request termination at any time by written notice.

12.2. Runflow may suspend or terminate access in the event of a breach of these Terms, upon 5 business days’ prior notice.

13. General provisions

13.1. Runflow may amend these Terms upon prior notice. Continued use after that notice constitutes acceptance.

13.2. These Terms are governed by the laws of the Federative Republic of Brazil. The courts of the Judicial District (Comarca) of São Paulo - SP are elected to settle any disputes.
